How to Change a Company Name With SECP: Procedure and Fee

Changing a company name is a routine filing that businesses complicate by treating it as a re-incorporation. It is not. The legal person survives with the same registration number and the same obligations. What catches companies out is the volume of downstream records that must then be updated, from FBR to bank mandates to letterheads.

Why companies change names

The procedure

  1. Search and reserve the new name through SECP, applying the same rules as an original reservation - see name reservation rules.
  2. Convene a general meeting with proper notice to members.
  3. Pass a special resolution approving the change and the consequential alteration of the memorandum and articles.
  4. File with SECP within the prescribed period - the resolution, the altered documents and the prescribed form.
  5. Pay the applicable fee from the current SECP schedule.
  6. SECP issues the certificate of change of name.
  7. Update every downstream record.

Downstream updates

This is where the real work sits. After the certificate issues, update:

  • FBR - income tax and sales tax registration records.
  • Bank accounts - mandates, cheque books, signatories.
  • Provincial revenue authorities where registered for services sales tax.
  • Employment registrations - EOBI, provincial social security.
  • Licences and sector registrations.
  • Trademarks - record the change of proprietor name at IPO-Pakistan.
  • Property and vehicle records held in the company's name.
  • Contracts - notify counterparties, though the contracts remain valid.
  • Letterhead, invoices, signage, website and email.
  • Company seal and statutory registers.

The bank is usually the most time-consuming, since it runs its own compliance process on a change of name.

Costs comprise the SECP name reservation fee, the filing fee for the change, and professional fees where a lawyer or corporate consultant is instructed. SECP fee schedules are revised periodically, so take the current figures from secp.gov.pk rather than any published estimate.

On timing, the filing itself is quick where the name is cleared and the resolution properly passed. What extends the exercise is:

  • A rejected name, requiring a fresh search.
  • Convening the meeting with proper notice.
  • The downstream updates, particularly banking, which continue for weeks after the certificate.
