SECP Company Name Search and Reservation: Rules and Rejections

Name reservation is the first step in incorporating a company in Pakistan and the one where applications are most often bounced back. The rules are not arbitrary but they are stricter than people expect, and the single biggest misunderstanding is what an approved name actually gives you. It secures the name on the companies register. It does not secure the brand.

Searching before you apply

SECP maintains a searchable register of incorporated companies. Before applying:

1. Search your exact proposed name on the SECP company search facility.
2. Search the distinctive element on its own. If your name is "Falcon Textiles (Private) Limited", search "Falcon" - the descriptive words rarely distinguish anything.
3. Search close variants - alternative spellings, singular and plural, with and without spaces.
4. Have two or three alternatives ready before you apply, so a refusal does not stall the whole incorporation.

Why names get rejected

Certain words are permitted only with prior approval from the relevant authority, particularly where they suggest a regulated activity. If your proposed name includes one, expect an additional step rather than a straight approval.

Applying for reservation

1. Create an SECP eServices account if you do not have one.
2. Submit the name reservation application, giving the proposed name and the intended business activity.
3. Describe the activity accurately. The name must be consistent with what the company will actually do; a mismatch is a refusal ground.
4. Pay the applicable fee from the current SECP schedule.
5. Await the decision. If approved, the name is reserved for a limited period within which you must complete incorporation.
6. If refused, read the reason and apply with your alternative rather than resubmitting the same name.

Reservation is time-limited. If you do not incorporate within the period, the reservation lapses and the name returns to the pool. Do not reserve a name months before you are ready to file the incorporation documents.

Approval is not brand ownership

This is the most consequential point on the page. An approved company name means only that SECP will register a company under it. It does not:

• Give you exclusive rights to use the name commercially.
• Stop another business trading under a similar name.
• Protect you against a trademark owner who registered the name first.
• Give you rights over the corresponding domain or social handles.
• Prevent a similar name being registered in another province or as a sole proprietorship.

Choosing a name that will be approved

• Make the distinctive element genuinely distinctive. Invented or arbitrary words clear both SECP and the trademark registry more easily.
• Avoid purely descriptive names. They are weak commercially and hard to protect.
• Check the abbreviation. Consider how the initials read.
• Match the activity. Do not use an industry word for a business in a different sector.
• Check the domain and handles before falling in love with the name.
• Have alternatives ready. Applicants with a second and third choice complete incorporation weeks faster than those who restart each time.

Borderline cases founders ask about

• Using your own surname. Generally acceptable, but a surname already established as another company's distinctive element can still be refused as deceptively similar.
• An English word plus an Urdu word. Fine in principle; the assessment still turns on the distinctive element and similarity to existing names.
• A name already used as a sole proprietorship. Trading under a name does not reserve it on the companies register, and someone else may already have incorporated it.
• A name similar to a well-known international brand. Expect refusal, and expect a trademark problem even if SECP approves it.
• Abbreviations and initials. Short initial-based names collide frequently, since there are only so many combinations.
• Adding a city name. Adding a place to an existing distinctive element rarely makes it sufficiently different.

Where you are unsure, the cheapest step is to search thoroughly and prepare an alternative rather than to submit and wait for a refusal.

How a company name is actually structured

Every registered company name has three parts, and understanding them explains most refusals.

Applicants frequently assume that adding a descriptive word makes a name distinct. It generally does not. If "Falcon Textiles" exists, "Falcon Fabrics" may still be refused as deceptively similar, because the distinctive element is identical and the goods are related.

The same logic runs through trademark practice: it is the distinctive element that carries the rights, and descriptive words add very little protection. Choose a distinctive element you can defend, and the rest of the name matters far less.

After approval: the clock is running

Approval starts a limited window in which incorporation must be completed. Use it deliberately:

1. Confirm the validity period stated in the approval and diarise it.
2. Finalise the documents immediately - see the document checklist.
3. Verify every subscriber's CNIC against NADRA while the documents are being prepared.
4. File the incorporation within the window.
5. File the trademark application in parallel if the brand matters, since the two registers are independent.

Do not reserve a name speculatively months before you are ready. A lapsed reservation returns the name to the pool, and there is no priority in having reserved it previously.
